By accessing or using Finikigai (the "Service"), operated by Artisan Algorithms LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Description of Service

Finikigai is a personal finance management application that provides:

• Financial account aggregation and balance tracking
• Cash flow forecasting and predictions
• Bill and subscription detection
• Income pattern analysis
• Financial alerts and notifications

The Service uses third-party providers, including Plaid Inc., to securely connect to your financial institutions and retrieve account information.

3. Eligibility

To use Finikigai, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable law

By using the Service, you represent and warrant that you meet all eligibility requirements.

4. Account Registration and Security

4.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You agree to:

• Provide truthful and accurate registration information
• Maintain and promptly update your account information
• Complete phone verification for two-factor authentication
• Keep your account credentials confidential

5. Financial Account Connections

5.1 Third-Party Services

When you connect your financial accounts, you authorize us to use Plaid Inc. to access your account information on your behalf. By connecting accounts, you:

• Authorize Plaid to retrieve your financial data
• Agree to Plaid's End User Privacy Policy
• Acknowledge that we are not responsible for Plaid's services

5.2 Data Accuracy

While we strive to provide accurate financial information, we cannot guarantee the accuracy, completeness, or timeliness of data received from your financial institutions. You should verify important financial information directly with your institutions.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Transmit viruses, malware, or other harmful code
• Use automated systems to access the Service without permission
• Reverse engineer, decompile, or disassemble the Service
• Resell, sublicense, or commercially exploit the Service
• Use the Service to harm, threaten, or harass others

7. Intellectual Property

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.

8. Fees and Payment

Finikigai is currently offered free of charge during our beta period. We reserve the right to introduce paid features or subscription plans in the future. If we do:

• We will provide advance notice of any fees
• You will have the option to accept or decline paid features
• Free features may continue to be available

9. Disclaimers

9.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Financial Advice

THE SERVICE DOES NOT PROVIDE FINANCIAL, INVESTMENT, TAX, LEGAL, OR ACCOUNTING ADVICE. THE FORECASTS, PREDICTIONS, AND ANALYSES PROVIDED ARE FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON FOR FINANCIAL DECISIONS.

9.3 Third-Party Services

WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR AVAILABILITY OF THIRD-PARTY SERVICES, INCLUDING PLAID AND YOUR FINANCIAL INSTITUTIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTISAN ALGORITHMS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, use, or goodwill
• Any damages arising from your use of or inability to use the Service
• Any damages arising from unauthorized access to your account
• Any damages exceeding the amount you paid us in the past 12 months (or $100 if you haven't paid anything)

11. Indemnification

You agree to indemnify, defend, and hold harmless Artisan Algorithms LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit through the Service

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at support@finikigai.com or using the account deletion feature in the Service.

12.2 Termination by Us

We may suspend or terminate your account at any time, with or without cause, with or without notice. Reasons for termination may include:

• Violation of these Terms
• Fraudulent or illegal activity
• Extended periods of inactivity
• Discontinuation of the Service

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will delete your data in accordance with our Privacy Policy.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@finikigai.com to attempt to resolve the dispute informally.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions.

13.3 Jurisdiction

Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Massachusetts, and you consent to the jurisdiction of such courts.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Artisan Algorithms LLC regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.
