Terms of Service

1. Acceptance of Terms

By accessing or using finikigai (the "Service"), operated by Artisan Algorithms LLC ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms.

2. Description of Service

finikigai is a personal finance management application that provides:

• Financial account aggregation and balance tracking
• Cash flow forecasting and predictions
• Bill and subscription detection
• Income pattern analysis
• Financial alerts and notifications

The Service uses third-party providers, including Plaid Inc., to securely connect to your financial institutions and retrieve account information.

3. Eligibility

To use finikigai, you must:

• Be at least 18 years of age
• Be a legal resident of the United States
• Have the legal capacity to enter into a binding agreement
• Not be prohibited from using the Service under applicable law

By using the Service, you represent and warrant that you meet all eligibility requirements.

4. Account Registration and Security

4.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You agree to:

• Provide truthful and accurate registration information
• Maintain and promptly update your account information
• Complete phone verification for two-factor authentication
• Keep your account credentials confidential

4.2 Account Security

You are responsible for maintaining the security of your account. You agree to:

• Not share your account credentials with others
• Notify us immediately of any unauthorized access
• Accept responsibility for all activities under your account

5. Financial Account Connections

5.1 Third-Party Services

When you connect your financial accounts, you authorize us to use Plaid Inc. to access your account information on your behalf. By connecting accounts, you:

• Authorize Plaid to retrieve your financial data
• Agree to Plaid's End User Privacy Policy
• Acknowledge that we are not responsible for Plaid's services

5.2 Data Accuracy

While we strive to provide accurate financial information, we cannot guarantee the accuracy, completeness, or timeliness of data received from your financial institutions. You should verify important financial information directly with your institutions.

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the Service or servers
• Transmit viruses, malware, or other harmful code
• Use automated systems to access the Service without permission
• Reverse engineer, decompile, or disassemble the Service
• Resell, sublicense, or commercially exploit the Service
• Use the Service to harm, threaten, or harass others
• Provide false or misleading information

7. Intellectual Property

7.1 Our Intellectual Property

The Service, including all content, features, and functionality (including but not limited to software, algorithms, text, graphics, logos, and design), is owned by Artisan Algorithms LLC and is protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use, subject to these Terms.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.

8. Subscriptions, Fees, and Payment

8.1 Subscription Plans

Some features of the Service require a paid subscription. We currently offer the following auto-renewing subscription plans:

• Solo (monthly)
• Plus (monthly or annual)
• Ultimate (monthly or annual)

The features included in each plan, such as the number of financial institutions you can connect and the length of the balance forecast, are described in the app at the time of purchase. Current prices are shown in the app and on the App Store or Google Play before you confirm a purchase, in your local currency. Some features may be available without a subscription.

8.2 Billing

Subscriptions and in-app purchases are sold and billed through the Apple App Store (for purchases made on iOS) or Google Play (for purchases made on Android), not directly by us. Payment is charged to your Apple ID or Google Play account when you confirm the purchase. Your purchase is also subject to the terms and payment policies of the store you buy from.

8.3 Automatic Renewal

Your subscription renews automatically at the end of each billing period (monthly or annually, depending on the plan you chose) at the then-current price, unless you cancel it at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours before the end of the current period.

8.4 Free Trials

We may offer a free trial for new subscribers (currently 14 days). Trial eligibility is determined by the App Store or Google Play and is shown in the app before you subscribe. Unless you cancel at least 24 hours before the trial ends, your subscription will automatically convert to a paid subscription and you will be charged the plan price at the end of the trial. Any unused portion of a free trial is forfeited when you purchase a subscription.

8.5 Managing and Cancelling Your Subscription

You can manage or cancel your subscription at any time in your store account settings:

• iOS: Settings > [your name] > Subscriptions, or through the App Store app
• Android: Google Play Store > Profile > Payments & subscriptions > Subscriptions

If you cancel, you keep access to paid features until the end of the current billing period, and you will not be charged again. Deleting the app or your finikigai account does not cancel your subscription; you must cancel it through your store account.

8.6 Plan Changes

You may upgrade or downgrade your plan in the app. How the change is applied and whether any prorated credit is given is handled by the App Store or Google Play. If you move to a plan that allows fewer connected financial institutions than you currently have, you will have a grace period (currently 14 days) to choose which connections to keep, after which we may disconnect the most recently added connections to bring you within your plan's limit.

8.7 Live Refresh Credits

We may offer Live Refresh Credits as one-time (non-subscription) in-app purchases. Each credit lets you request an on-demand refresh of your account data. Credits are non-transferable, have no cash value, and are non-refundable except where required by law or the applicable store's refund policy.

8.8 Refunds

Because purchases are processed by Apple or Google, refund requests must be made to them under their policies. For purchases made on iOS, you can request a refund at reportaproblem.apple.com. For purchases made on Android, see Google Play's refund policy. We do not provide refunds or credits for partial billing periods except where required by law.

8.9 Price Changes

We may change subscription prices from time to time. We will give you advance notice of any price increase as required by the App Store or Google Play, and where required, you will be asked to agree to the new price before it applies. If you do not agree, you can cancel your subscription before the change takes effect.

9. Disclaimers

9.1 "As Is" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.2 No Financial Advice

THE SERVICE DOES NOT PROVIDE FINANCIAL, INVESTMENT, TAX, LEGAL, OR ACCOUNTING ADVICE. THE FORECASTS, PREDICTIONS, AND ANALYSES PROVIDED ARE FOR INFORMATIONAL PURPOSES ONLY AND SHOULD NOT BE RELIED UPON FOR FINANCIAL DECISIONS.

9.3 Third-Party Services

WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR AVAILABILITY OF THIRD-PARTY SERVICES, INCLUDING PLAID AND YOUR FINANCIAL INSTITUTIONS.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ARTISAN ALGORITHMS LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Any loss of profits, data, use, or goodwill
• Any damages arising from your use of or inability to use the Service
• Any damages arising from unauthorized access to your account
• Any damages exceeding the amount you paid us in the past 12 months (or $100 if you haven't paid anything)

11. Indemnification

You agree to indemnify, defend, and hold harmless Artisan Algorithms LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Any content you submit through the Service

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at support@finikigai.com or using the account deletion feature in the Service.

12.2 Termination by Us

We may suspend or terminate your account at any time, with or without cause, with or without notice. Reasons for termination may include:

• Violation of these Terms
• Fraudulent or illegal activity
• Extended periods of inactivity
• Discontinuation of the Service

12.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. We will delete your data in accordance with our Privacy Policy.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at legal@finikigai.com to attempt to resolve the dispute informally.

13.2 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions.

13.3 Jurisdiction

Any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Massachusetts, and you consent to the jurisdiction of such courts.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Artisan Algorithms LLC regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

14.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

14.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations without restriction.

15. Additional Terms for Apple App Store Users

If you downloaded the finikigai app from the Apple App Store, the following additional terms apply, and these Terms serve as the end user license agreement (EULA) for the app:

• Parties. These Terms are between you and Artisan Algorithms LLC only, not with Apple Inc. ("Apple"). Artisan Algorithms LLC, not Apple, is solely responsible for the app and its content.
• Scope of License. The license granted to you in Section 7.2 is limited to a non-transferable license to use the app on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed by other accounts associated with you through Family Sharing or volume purchasing where applicable.
• Maintenance and Support. Artisan Algorithms LLC is solely responsible for providing any maintenance and support services for the app. Apple has no obligation to provide any maintenance or support services for the app.
• Warranty. To the extent any warranty applies and has not been effectively disclaimed, Artisan Algorithms LLC is solely responsible for it. If the app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) of the app to you. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty are the sole responsibility of Artisan Algorithms LLC.
• Product Claims. Artisan Algorithms LLC, not Apple, is responsible for addressing any claims by you or any third party relating to the app or your possession or use of it, including (i) product liability claims; (ii) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.
• Intellectual Property Rights. In the event of any third-party claim that the app or your possession and use of it infringes that third party's intellectual property rights, Artisan Algorithms LLC, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
• Legal Compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
• Third-Party Terms. You must comply with any applicable third-party terms of agreement when using the app, such as your wireless data service agreement.
• Third-Party Beneficiary. Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.
